3. Client Obligations and Conduct

4.2. Payment Terms: Unless otherwise agreed in the SOW, payment terms are [e.g., net 30 days from invoice date]. Failure to pay on time may result in suspension or termination of services, and interest may be charged on late payments as permitted under Maltese and EU law.

5. Confidentiality and Data Protection

5.1. Confidentiality: Both parties agree to keep all non-public information received from the other party confidential, including business plans, technical data, client lists, and strategies, subject to exceptions detailed in the SOW.

5.2. Data Protection (GDPR Compliance): We are committed to protecting your personal data in compliance with the GDPR (Regulation (EU) 2016/679) and the Maltese Data Protection Act (Cap. 586). Our processing of your personal data is described in detail in our Privacy Policy. Where we process personal data on your behalf as part of our services (acting as a 'Data Processor'), a separate Data Processing Agreement (DPA) will be executed to define roles, responsibilities, and security measures.

5.3. Data Act Compliance: For any data-related services, we will operate in a manner that ensures fairness, reasonableness, and non-discrimination as required by the EU Data Act.

 

6. Intellectual Property Rights

 

6.1. Website Content: All content on this Website, including text, graphics, logos, and software, is the property of Synerf or its content suppliers and is protected by Maltese and EU copyright and intellectual property laws.

6.2. Service Deliverables: The ownership of any Intellectual Property (IP) created as part of a paid consulting project (the "Deliverables") will be defined clearly in the Service Agreement or SOW.

7. Limitation of Liability

7.1. General: To the maximum extent permitted by law, Synerf will not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Website or services.

7.2. Consultancy Services: Our total aggregate liability to you for any and all claims arising out of or in connection with the services provided will be limited to the fees actually paid by you to us for the specific service in question over the preceding [e.g., six (6) months] period. This limitation does not exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be legally limited under Maltese and EU law.
